The Financial Reporting Council’s (FRC's) November 2021 Review of Corporate Governance Reporting delivered key messages and expectations for improvements in corporate governance reporting. In Corporate governance reporting highlights: Areas for future focus, we explore these messages, set out the underlying source of legal and / or regulatory requirements and provide examples of better disclosure.

The financial crisis highlighted imbalances between the increasing growth and complexity of the financial services industry and fundamental failures in governance. A key response to these challenges was the 2009 Walker Report which recommended, amongst other items, the establishment of a separate Board Risk Committee as a means of addressing the overload of Non-Executive Directors on Audit Committees and the need for a closely-related but separate capability to focus on risk in future strategy. Over four years on from the Walker Report, this paper looks at how firms are responding to the challenges and fulfilling the increased expectations, with particular focus on the Board Risk Committee versus the Audit Committee.

The Deloitte publication ‘Women in the boardroom: A global perspective’ focuses on the issue of gender imbalance in favour of men on company boards worldwide. Citing statistics on boardroom diversity from a number of countries on every continent, the research presents the extent to which these countries are driving change through the legal and regulatory framework, either for the corporate sector in general or specifically in the state-owned sub-sector; whether through the use of quotas or targets/recommendations and how much of this change has been prompted by stakeholder activism and public pressure.

The Deloitte Global Center for Corporate Governance is proud to introduce Director 360°, a unique perspective on the views and concerns of boards around the world. Based on in-depth interviews with 215 directors at listed and private companies across 12 countries, this survey explores topical issues regarding board effectiveness, how boards are functioning and the changing roles of directors. Director 360° also asks directors to rate the key issues on the board agenda over the past year and which of these they believe will dominate their agendas in the future.
