Auditor Reporting – Key Audit Matter Reporting and Other Considerations (Amendments to CAS 700) [Completed]

The effective dates for KAM reporting are as follows: (i) entities listed on the Toronto Stock Exchange, excluding listed entities required to comply with National Instrument 81-106, periods ending on or after December 15, 2020; and (ii) other listed entities, excluding listed entities required to comply with NI 81-106, periods ending on or after December 15, 2022.

Overview

Users of audited financial statements have asked auditors to provide more information in their reports about significant matters in the financial statements, as well as about the conduct of the audit.

In early 2017, the AASB unanimously approved enhanced auditor reporting standards and, in late 2018, the AASB made amendments to CAS 700, Forming an Opinion and Reporting on Financial Statements, requiring auditors to communicate key audit matters in the auditor’s report for audits of complete sets of general purpose financial statements of entities listed on the Toronto Stock Exchange (TSX), other than entities that are required to comply with National Instrument 81-106, Investment Fund Continuous Disclosure. Such requirements are effective for periods ending on or after December 15, 2020.

By not requiring reporting of key audit matters by all listed entities, the AASB acknowledged that certain listed entities, such as venture issuers, are granted certain regulatory relief by securities regulators. Until auditor reporting evolves, it is difficult to conclude on the costs and benefits of reporting on key audit matters by such entities.  

On January 31, 2019, the AASB issued an Exposure Draft proposing revisions to CAS 700, relating to the communication of key audit matters (KAM) in the auditor’s report. In it, the AASB proposed to expand the requirements for auditors to communicate KAM for audits of complete sets of general purpose financial statements so that they apply to:

  • all entities listed on the TSX, TSXV, NEO and CSE; and
  • all entities required to comply with NI 81-106

The Exposure Draft comment period ended on May 15, 2019.

At its meeting on September 9-10, 2019, after reviewing the feedback from stakeholders on the Exposure Draft proposals, the AASB unanimously approved amendments to CAS 700 which will only require auditors to communicate key audit matters in the auditor’s report for audits of complete sets of general purpose financial statements of other listed entities for periods ending on or after December 15, 2022. This excludes listed entities required to comply with National Instrument 81-106, Investment Fund Continuous Disclosure. In December 2019, the final amendments were issued to the CPA Canada Handbook – Assurance. The new requirements with respect to other listed entities i.e., that are not listed on the TSX are effective for periods ending on or after December 15, 2022.

Other de­vel­op­ments

December 2020

In March 2019, the effective date of paragraph 46 of CAS 700 was revised so that the requirement for the auditor to disclose the engagement partner name did not apply to audits of financial statements for periods ending before December 15, 2019, of entities whose engagement partner name appears on Form AP, Auditor Reporting of Certain Audit Participants, to be filed with the U.S. Public Company Accounting Oversight Board for that engagement. This was a one-year deferral. As this deferral has ended, the effective date paragraph is no longer needed and has been removed on December 1, 2020.

December 2019

On December 13, 2019, the AASB released its Basis for Conclusions, which summarizes the process the AASB followed in revising the requirements to communicate key audit matters in accordance with CAS 700, Forming an Opinion and Reporting on Financial Statements.

July 2019

In July 2019, the AASB staff updated this project to note that the Board expects to finalize the Handbook material in Q4/2019.

April 2019

In April 2019, the AcsB issued the Basis of Conclusions in respect of its amendments re paragraph 46 of CAS 700 to the CPA Canada Handbook – Assurance.

January 2019

In January 2019, the AASB staff updated the status of this project to indicate that the AASB expects to issue an Exposure Draft in Q1/2019.
