SEC staff to release “no-review” letters for certain registration statements

The staff in the SEC´s Division of Corporation Finance has announced that beginning July 1, 2015, it will release, through the EDGAR system, correspondence with issuers regarding registration statements filed under the Securities Act of 1933 that the SEC staff has not selected for review. In the past, such “no-review” letters have been released only upon a request under the Freedom of Information Act.

This change in the staff´s historical practice is intended to increase transparency. The new policy applies to registration statements with an effective date of July 1, 2015, or later.
