SEC issues report on small business capital formation

The SEC recently issued the final report of its 2014 Government-Business Forum on Small Business Capital Formation. As stated in the report, a major purpose of the forum “is to provide a platform to highlight perceived unnecessary impediments to small business capital formation and address whether they can be eliminated or reduced.”

The report contains 20 recommendations from the forum’s four breakout groups. The groups focused on exempt securities offerings, secondary-market liquidity for securities of small businesses, the definition of an accredited investor, and disclosure effectiveness.
