SEC adopts interim final rule implementing FAST Act provisions

The SEC has issued an interim final rule that implements provisions mandated by the Fixing America’s Surface Transportation (FAST) Act, passed by Congress in December 2015. The interim final rule allows Form 10-K filers to provide a summary of business and financial information contained in the annual report.

The rule indicates that “a registrant may, at its option, include a summary in its Form 10-K provided that each item in the summary includes a cross-reference by hyperlink to the material contained in the registrant’s Form 10-K to which such item relates.” It also solicits comments on whether the rule should (1) include specific requirements or guidance related to the form and content of the summary and (2) be expanded to include other annual reporting forms.

The interim final rule will become ef­fec­tive on the date of its pub­li­ca­tion in the Federal Reg­is­ter. Comments will be due 30 days after its publication.
