The staff in the SEC’s Division of Corporation Finance has updated its compliance and disclosure interpretations (C&DIs) related to cross-border exemptions.

Topics covered in the updated C&DIs include:

  • Calculation of U.S. ownership.
  • Determination of the subject class.
  • The “equal treatment” requirements.
  • Filing, publication, and dissemination of offer materials.
  • Withdrawal rights.
