SEC Approves New Proxy Disclosure Rules

At today’s open meeting, the SEC voted 4-1 in favor of approving a number
of proxy disclosure rules designed to increase transparency and enhance disclosure around risk, board diversity and leadership structure, compensation, and director qualifications. The rules, which were proposed in July, are expected to be effective for the 2010 proxy season.
