ISSB Board requirements
Composition
The ISSB normally has 14 board members, of whom one is appointed as Chair and one as Vice-Chair. ISSB members are appointed for an initial term of five years. Terms are may be renewable once for a further term of three years, with the possibility of renewal up to a maximum of five years, in line with procedures developed by the Trustees for such renewals, however, the terms may not exceed 10 years in total length of service as a member of the Board.
Geographical balance
To ensure a broad international diversity, the constitution requires four members from the Asia/Oceania region; four from Europe; four from the Americas; one from Africa; and one appointed from any area, subject to maintaining overall geographical balance.
Board member qualifications
The main qualification for membership is professional competence and practical experience. The group is required to represent the best available combination of technical expertise and diversity of international business and market experience.

Emmanuel Faber, Chair
Emmanuel Faber, who is the former Chair of the Board and CEO of Danone, assumed his role as inaugural Chair of the ISSB on 1 January 2022. He has been appointed for a three-year term. Mr Faber has significant global leadership experience and has long advocated the importance of sustainability information to the global capital markets and its relevance to the investment decision-making process. His initial term expires on 31 December 2024.
Jingdong Hua, Vice-Chair
Jingdong Hua is the former Vice President and Treasurer of the World Bank, where his responsibilities included green bond initiatives and sustainable finance capacity-building programmes. In his role as Vice-Chair, Mr Hua oversees the development and implementation of the ISSB’s strategies to support and include stakeholders in emerging and developing economies as well as small and medium-sized companies. His first term expires on 30 September 2026.
Sue Lloyd, Vice-Chair
Sue Lloyd served as Vice-Chair of the International Accounting Standards Board (IASB) and Chair of the IFRS Interpretations Committee before joining the ISSB as Vice-Chair on 1 March 2022. In her role as Vice-Chair, Ms Lloyd oversees the overall organisation of the ISSB’s work and its technical staff as well as the connection between the ISSB and the IASB. Her first term expires on 28 February 2026.
Richard Barker
Richard Barker joined the ISSB from the position of deputy dean and professor of accounting at Saïd Business School, University of Oxford where he lead Oxford Saïd’s sustainable business initiatives. He chaired the expert panel of Accounting for Sustainability (A4S) and previously served as a member of several committees and bodies focused on corporate reporting in the UK and Europe. His first term expires on 30 November 2027.
Jenny Bofinger-Schuster
Jenny Bofinger-Schuster joined the ISSB from Siemens, where she has served as Senior Vice President for sustainability and operational excellence, with responsibility for developing the company’s sustainability strategy and for implementing new disclosure requirements. Her first term expires on 30 September 2026.
Verity Chegar
Verity Chegar has 20 years of experience in sustainable investment and stewardship, portfolio management and investment research with both asset owner and asset manager perspectives. When joining the ISSB she was serving as Co-Vice Chair of the SASB Standards Board, where she had been overseeing the development and maintenance of SASB’s industry-based standards since 2017. Her first term expires on 30 June 2027.
Jeffrey Hales
Jeffrey Hales served as Chair of the SASB Standards Board since 2018 and was also a professor of accounting at the University of Texas in Austin, US. He had previously served as an academic research fellow at the Financial Accounting Standards Board (FASB) and as a member of its Financial Accounting Standards Advisory Council. He is a part-time member of the ISSB. His first term expires on 30 June 2027.
Michael Jantzi
Michael Jantzi joined the ISSB from Morningstar, where he served as Managing Director of ESG Strategy. He is the founder and former CEO of Sustainalytics, an ESG research and ratings firm that was subsequently acquired by Morningstar in 2020. He served on the Board of Directors of the Value Reporting Foundation (VRF) and of the Principles for Responsible Investment. His first term expires on 30 September 2025.
Hiroshi Komori
Before joining the ISSB, Hiroshi Komori served as Senior Director and Head of the Stewardship and ESG Division at the Government Pension Investment Fund in Japan, where he developed the investor engagement and participation in international sustainability initiatives. His first term expires on 31 August 2025.
Bing Leng
Bing Leng joined the ISSB from the position of Director in the Accounting Regulatory Department of the Chinese Ministry of Finance, where he oversaw sustainability reporting initiatives. He also served as a member of the IASB IFRS Taxonomy Consultative Group. His first term expires on 30 September 2026.
Ndidi Nnoli-Edozien
Before joining the ISSB, Ndidi Nnoli-Edozien worked across multinational and indigenous companies, public institutions and civil society organisations, in Africa and Europe, to initiate sustainable development initiatives. In her last role, she served as the inaugural Group Chief Sustainability and Governance Officer of Dangote Industries Limited — one of Africa’s largest manufacturing businesses. Her first term expires on 30 September 2026.
Tae-Young Paik
Before joining the ISSB, Tae-Young Paik had worked as an academic and policy advisor on accounting and sustainability matters for over 30 years both in Korea and internationally. In his last position, he served as professor of accounting at Sungkyunkwan University in Seoul and chair of the Sustainability Evaluation and Disclosure Committee in the G7 Korea Impact Alliance. He had also recently completed a presidency of the Korea Accounting Association. His first term expires on 30 June 2025.
Veronika Pountcheva
Veronika Pountcheva joined the ISSB from METRO, where she served as Senior Vice President of corporate responsibility and Co-chief Executive Officer of NX Food, with responsibility for developing the company’s long-term sustainability strategy. Her first term expires on 30 September 2027.
Elizabeth Seeger
Elizabeth Seeger joined the ISSB from global investment firm KKR, where she served as Managing Director, Sustainable Investing, responsible for helping oversee the firm's consideration of sustainability matters throughout KKR’s investment process. Since 2017 she also served as a member of the SASB Standards Board. Her first term expires on 31 October 2025.
